NON-DISCLOSURE AGREEMENT (NDA)

Obsidian Edge Capital (OEC) & Customer

This Non-Disclosure Agreement (“Agreement”) is entered into between:

1. Obsidian Edge Capital (OEC) (“Recipient”), a venture capital firm evaluating startups for the OEC Rating.

2. The Customer (“Disclosing Party”), submitting confidential business information for evaluation.

Both parties agree to the following:

1. Confidential Information

The Customer may disclose financial, operational, technical, and business data to OEC for rating purposes. Any information shared in the rating form or related discussions is considered Confidential Information.

2. Use of Information

OEC agrees to:

• Use the information only for rating and evaluation purposes.

• Not disclose, share, or sell the information to third parties without written consent.

• Take reasonable steps to protect confidentiality.

  
  

3. Exclusions

This NDA does not apply to information that:

• Is publicly available before disclosure.

• Becomes public through no fault of OEC.

• OEC already legally possesses.

• OEC is required to disclose by law.

  
  

4. Duration

This NDA remains in effect for 2 years from the Effective Date.

5. No Legal Obligation

This Agreement does not create any investment commitment or partnership. It only ensures confidentiality.
